Education- Terms & Conditions

1.Acceptance of Terms

These Education Terms & Conditions (the “Education Terms”) are in addition to the Terms & Conditions of Purchase and all other documents referenced therein (collectively, the “Terms”). Medisca reserves the right to change or amend the Terms without notice and will not be liable for any losses caused as a result of these changes. Capitalized terms that are not defined herein shall have the meaning ascribed to them in the Terms. CUSTOMER’S PURCHASE OF THE EDUCATION PRODUCTS CONFIRMS CUSTOMER’S UNDERSTANDING AND ACCEPTANCE OF THE CONDITIONS, OBLIGATIONS AND CRITERIA HEREIN.

2. Authorized Distributor

a) Medisca is a non-exclusive  authorized distributor of LP3 Network Inc.’s Education. As such, Customer understands and acknowledges that Medisca is not the provider nor creator of the Education, which is provided by and created by LP3 Network Inc. and which accordingly is solely responsible for its content. Medisca’s sale of the Education does not constitute an endorsement by Medisca of any content of the Education, nor of the products or practices referenced therein. Any use of the information contained in any Education is at the sole discretion and sole risk of the Customer and Medisca hereby disclaims any responsibility or liability arising therefrom.

b) Except as specifically provided hereunder, all Education are subject to LP3 Network Inc.’s terms and conditions which, for reference, may be found here

3.Payment and Cancellation

    • Payment for each Education is due upon receipt of invoice and must be paid in full prior to the Education date.
    • In the event LP3 Network Inc. cancels an Education, Medisca’s sole liability to Customer shall be repayment of the price paid by Customer for the cancelled Education. In no event shall Medisca be responsible for any costs incurred by Customer arising from such cancellation, including, but not limited to, travel and/or accommodation.
    • In the event Customer cancels its registration to a particular Education, such cancellation shall be governed by the LP3 Network terms and conditions referenced above.

4. EXCLUSION OF LIABILITY

Medisca is not liable, and hereby disclaims any liability to any person or entity for any loss, damage or claims thereof caused by, or alleged to be caused by, directly or indirectly, the use or misuse of the Education. IN NO EVENT SHALL MEDISCA, ITS AFFILIATES, NOR ITS SHAREHOLDERS, OFFICERS, DIRECTORS, EMPLOYEES, SUBCONTRACTORS, CONSULTANTS OR LICENSORS HAVE ANY OBLIGATIONS OR LIABILITY FOR ANY EXEMPLARY, EXTRAORDINARY, PUNITIVE, INCIDENTAL, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF REVENUE OR PROFITS, USE, GOODWILL OR BUSINESS INTERRUPTION OR ANY OTHER FINANCIAL LOSS, ARISING, DIRECTLY OR INDIRECTLY, FROM THE EDUCATION, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY OR FORM OF ACTION, EVEN IF CUSTOMER HAD BEEN ADVISED OF THE POSSIBILITY THEREOF. THE TOTAL LIABILITY OF MEDISCA (INCLUDING ITS SHAREHOLDERS, OFFICERS, DIRECTORS, EMPLOYEES, SUBCONTRACTORS, CONSULTANTS, VENDORS OR LICENSORS), IF ANY, FOR DAMAGES RELATING TO THE EDUCATION SHALL BE LIMITED TO THE PRICE PAID FOR SUCH EDUCATION BY CUSTOMER.

5. INDEMNIFICATION

Customer hereby indemnifies, defends and holds harmless Medisca, its affiliates and their stockholders, directors, officers, employees, contractors and agents from and against any and all claims, losses, liabilities, lawsuits, proceedings, costs and expenses, including without limitation, reasonable attorney’s fees arising out of or in connection with any claims which may result from its use or misuse of the Education purchased hereunder, including but not limited to  (i) injuries and/or death to humans resulting from the use of any materials provided to Customer including, without limitation, claims based on negligence, warranty, strict liability or any other theory of product liability or a violation of applicable laws or regulations; (ii) negligence or willful misconduct in advertising, labeling, dissemination or promotion; (iii) any content which is incorrect or do not meet FDA or any other applicable regulations and policies; (iv) any misrepresentation by Customer or breach by Customer of any covenant or agreement hereunder or (v) patent infringement relating to any materials provided to Customer or Medisca’s services provided hereunder.

6. NO REPRESENTATIONS BY MEDISCA

OTHER THAN THE FOREGOING, MEDISCA MAKES NO REPRESENTATIONS OR WARRANTIES, NOR ANY OBLIGATIONS TO THE CUSTOMER OF ANY KIND, WHETHER EXPRESS OR IMPLIED, AND CUSTOMER HEREBY WAIVES ALL DEMANDS THEREFOR. WITHOUT LIMITING THE FOREGOING, MEDISCA MAKES NO IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE REGARDING THE EDUCATION.
